1. Definitions

2. General Provisions

2.1. This document is a public offer under the Civil Code of Georgia.
2.2. The Offer is always valid in the version published on the website at the time of the Client’s request.
2.3. Payment for the services means the Client agrees with the terms of this Offer.

3. Subject of the Agreement

3.1. The Service Provider offers advertising integration and placement in video content on YouTube, TikTok and other platforms.

3.2. The Service Provider may also provide additional services, such as creating a branded video, producing advertising content, or building a YouTube channel “turnkey”.

3.3. The exact format, timing and scope of services are agreed individually between the Parties.

4. Service Fees

4.1. The cost of services is determined by the actual tariffs published on the website https://studio.bizzz.media/video-ads.
4.2. Services are priced in USD (or GEL for Georgian clients). Payment can be made in these currencies depending on the agreement.
4.3. If the Service Provider has sent an individual commercial offer, the price specified there is valid for 7 calendar days, unless another term is agreed.
4.4. All additional services (such as video production) and discounts are subject to individual negotiation and are not automatic.
4.5. Agreement on such terms must be confirmed in writing (email or messenger).
4.6. Services are payable 100% in advance.
4.7. Payments can be made by bank transfer, payment cards or online payment systems.

5. Rights and Obligations of the Parties

5.1. Obligations of the Service Provider:
– Deliver the services in accordance with the request and this Offer;
– Coordinate with the Client on key elements (format, deadlines, technical requirements);
– Ensure confidentiality of Client’s materials;
– In case a video is removed by the platform (e.g. YouTube) for reasons not related to the Client, re-upload the video or provide a bonus placement.

5.2. Rights of the Service Provider:
– Independently determine creative approaches (editing, style, scenario), unless otherwise agreed;
– Use completed advertising integrations in portfolio, case studies, and presentations;
– Refuse service if Client’s materials violate law or contain prohibited content (extremism, illegal content, pornography, etc.).

5.3. Obligations of the Client:
– Provide materials necessary for the integration on time;
– Guarantee legal rights to all submitted materials;
– Pay for the services in full and on time;
– Agree in writing on any additional services if needed.

5.4. Rights of the Client:
– Receive services in agreed volume and quality;
– Request confirmation of placement (video link, screenshots);
– Refuse public use of the integration in Service Provider’s portfolio for an additional fee;
– Suggest ideas for format or content (final creative decision remains with the Service Provider).

6. Procedure of Service Delivery
6.1. The Client submits a request via the form on the website.
6.2. Services are provided after 100% prepayment.
6.3. The timing and conditions of service delivery are determined individually and fixed in correspondence between the Parties.

7. Materials and Intellectual Property

7.1. The Client provides all necessary materials (logos, texts, images) if required for integration.
7.2. The Client is solely responsible for ensuring that provided materials do not violate copyright or intellectual property rights.
7.3. If the video is produced by the Service Provider, responsibility for used materials lies with the Service Provider.

8. Cancellation and Refunds

8.1. The Client may cancel before the start of production. In this case, 80% of the paid amount will be refunded, while 20% is retained to cover organizational costs.

10.2. After production has started, no refund is possible.

10.3. If a video is removed by the platform for technical reasons beyond the Parties’ control, the Service Provider will re-upload or provide a bonus placement.

9. Liability and Governing Law
9.1. The Service Provider is liable only for proper provision of services.
9.2. The Service Provider is not liable for the Client’s lost profits.
9.3. The Service Provider is not liable for disruptions or actions of third-party platforms (e.g., YouTube, TikTok).
9.4. This Agreement is governed by the laws of Georgia.
9.5. Any disputes are subject to Georgian courts at the place of registration of the Service Provider.
